In General
I am proud of my tradition of working with start-ups, and my expertise
in new technologies, new media and e-commerce. The nature of my representation
in the Internet, new media, e-commerce, and technology markets is varied.
I provide strategic legal counsel to start-ups and the emerging growth
companies (Internet, new media, electronic commerce, and other high technology
companies). My office is committed to the particular needs of its emerging
growth clients, and I help such clients develop and refine their business
models, set up optimal legal and capital structures, coordinate employment
and employee compensation and benefit arrangements, identify and protect
their intellectual property and, where possible and appropriate, arrange
introductions to providers of capital.
Entity Formation
I have assisted both principals and investors in forming corporations,
partnerships, limited liability companies (LLC), and joint ventures. I
have also helped them create and document a capital structure and appropriate
governance arrangement among the investors. Protecting the interests of
my client, whether it is an individual or a company is a primary goal.
Corporate Finance - Private Placements and Venture Capital
I assist clients in anticipating, assembling, and presenting the type
of information that private "angel" investors and venture capitalists,
and other financing sources require before evaluating a client's needs
and prospects. I have also assisted my clients with structuring and negotiating
private placements of debt and equity.
Technology Licensing and Distribution
The office's technology licensing and distribution practice involves the
areas of proprietary rights protection, licensing, and product distribution.
I negotiate and document a wide variety of transactions involving technology
and intellectual property rights, including the licensing, sale, distribution
and development of computer hardware and software, content, and related
copyrights and trademarks. This generally involves advising clients on
the appropriate business structures and distribution techniques, as well
as the preparation of a wide array of distribution, licensing, sale representative,
OEM, and agency arrangements.
