Advertising Law
I have extensive experience in interpreting
the array of state and federal laws affecting advertising in the main stream
media channels and over the internet. As businesses in every industry adapt
to the Internet, they expand their dissemination of content, generally in
some form of advertising. I counsel my clients on content clearance to prevent
lawsuits and help my clients license and defend their rights to their information,
their trademarks, domain names, logos, and content including prose, music,
photographs, videos, film, animation, and graphics.
Business and Corporate Law
I serve as primary counsel to many businesses.
This practice area integrates many, if not all, of my other primary practice
areas to supply effective, comprehensive and cost-efficient representation.
Services include general business counseling; business entity formation,
operation, maintenance, reorganization and dissolution; and the structuring
and documentation of business transactions such as employment agreements,
equipment leasing, and technology licensing. My client base is both domestic
and international, ranging from individual entrepreneurs and start-up
companies to well-established privately-held companies in different industries.
Contract Law
A primary goal of my office when it comes
to drafting and negotiating contracts, includes: enabling clients to achieve
their goals, protecting the client's rights, addressing potential problems
and providing for orderly resolution of disputes, in accordance with applicable
laws. Consultation during these initial stages of contract formation may
avoid serious future misunderstandings and litigation.
Computer Law
I actively represent technology companies
on a full range of issues in a wide rage of industries, including those
involved in software programming and development; web site design, development
and hosting; hardware and PC sales; e-commerce; entertainment (mainstream
and adult), and art. This practice area focuses on drafting and negotiating
technology and other computer hardware and software development, license
and distribution contracts as well as preparing confidentiality, non-competition,
and assignment agreements to protect your intellectual property and trade
secrets. I am proud of my tradition of working with start-ups, and my
expertise in new technologies, new media and e-commerce.
Internet and E-Commerce Law
This interdisciplinary practice addresses
the legal needs of established and emerging online businesses with respect
to content, copyright, contracting, encryption, "look and feel,"
domain name, on-line marketing, the Communications Decency Act and Children's
Online Privacy Protection Act, and ISP and ASP issue. I also assist my
clients in software licensing, information access agreements, digitization
and graphic formatting standards, infringement and other contemporary
Internet-related and jurisdictional issues.
I have proven experience in drafting and
negotiating all kinds of internet agreements, such as: web site development
agreements, web hosting and service agreements, co-branding and content
agreements, and online terms of use agreements.
Employment and Labor Law
I handle virtually every issue that arises
in the employer-employee relationship. The practice area emphasizes prevention
and seeks to provide practical solutions that minimize claims and avoid
employment-related litigation through careful planning and preparation
of company policies, employee handbooks, employment applications, required
employee notices, employment and executive compensation agreements, confidentiality
covenants and trade secret protection. The key to this preventive philosophy
is preventative maintenance. I review and assess existing employment practices;
develop and analyze clearly defined and effective policies and procedures
for attracting, retaining and managing employees; and assist my clients
in establishing in-house employment law compliance and complaint management
systems.
Intellectual Property Law (Copyright,
Trademark and Trade Secrets)
No matter what your business, developing
and knowing how to protect your intellectual property is vital to your
success. This practice area deals with: copyright, trademark, unfair competition,
false advertising, trade secrets, e-commerce, software protection, licensing
and other transactions. I offer comprehensive services for creating, maintaining,
licensing, protecting, and enforcing intellectual property rights. I prepare
and file copyright and trademark applications both here in the United
States and abroad. Within this interdisciplinary practice area, I also
negotiate agreements involving strategic alliances, technology transfers
and licenses, related marketing agreements, software use, and product
sales and distribution agreements. I also counsel, represent, negotiate
and prepare agreements and policies to protect a company's valuable trade
secrets.
Technology Start-Ups
I am proud of my tradition of working
with start-ups, and my expertise in new technologies, new media and e-commerce.
The nature of my representation in the Internet, new media, e-commerce
and technology markets has been varied. My Internet and e-commerce clients
include primarily start-up companies at the earliest stages of development,
and well-established private companies which have decided to use the Internet
and e-commerce to expand or enhance their existing business. Aside from
the general corporate representation I provide, I have proven experience
in drafting and negotiating all kinds of internet agreements, such as:
