In General
This practice area integrates many, if not all, of my other primary practice
areas to supply effective, comprehensive and cost-efficient representation.
Services include: general business counseling; business entity formation,
structuring, operation, maintenance, reorganization and dissolution; acquisitions
and divestitures (stock sales, asset sales, and mergers); and the structuring
and documentation of business transactions, including employee-employer
relations. My client base is both domestic and international, ranging
from individual entrepreneurs and start-up companies to well-established
privately-held companies in different industries.
Corporate Advice
General corporate counseling involves advice regarding corporate legal
operations, employment laws, finance, liability issues, advice on compliance
with government regulations, and audits. I serve as primary counsel to
many businesses, with the focus on the formulation of strategies to minimize
risk while keeping cost effectiveness and efficiency in mind. I advise
my clients on matters such as advertising, contracts for goods and services,
traditional and creative financing, employment related issues, and government
regulation. I also often serve as a counselor for businesses to help management
identify problems in the early stages.
Business Formation and Corporate Maintenance
My office routinely assists its clients in meeting both their planning
and basic corporate needs. In addition to providing general corporate
advice, I assist my clients in choosing and properly organizing and maintaining
the right business entity (corporation, limited liability company, partnership).
I prepare corporate minutes, resolutions and other documents; engage in
complex negotiations for the purchase or sale of substantial assets; analyze
and prepare appropriate documents to properly handle employee relations
and benefits; negotiate and draft of all kinds of contracts and agreements;
and prepare copyright and trademark applications and renewals. (see Intellectual Property)
Business Transactions
I prepare, review, analyze and negotiate all kinds of commercial and business
contracts, including: advertising and promotional agreements, confidentiality
agreements, employment, independent contractor, and consulting agreements,
licensing and distribution agreements, supply contracts, forms of purchase
and sale orders, warranties, franchise documentation, promissory notes
and security agreements, residential and commercial leases, and stock
purchase and buy-out agreements.
Mergers and Acquisitions
I have represented both buyers and sellers in transactions involving the
purchase and/or sale of a privately held business.
Joint Ventures and Strategic Alliances
Strategic partnerships and licensing deals are becoming an increasingly
vital component in a company's ability to thrive in a changing market
environment. I have significant experience in the formation of outsourcing,
licensing, development and strategic alliance relationships.
International Transactions
International transactions are becoming more common. In this area, I not
only assist domestic companies in conducting their activities overseas,
but also aid many foreign clients on conducting their business activities
in the United States. These services involve cross-border mergers and
acquisitions, technology transfers, joint ventures, financing, protection
of their intellectual property, and a wide variety of other transactions.
Technology Start-Ups
I have been advising technology companies in a wide range of industries,
including those involved in web site design and development, software
development, storage, PCs, Internet commerce and entertainment. I understand
that technology companies have special challenges and opportunities and
my extensive hands-on experience in dealing with these industries enables
me to adapt to the unique financing- and technology- development needs
of clients.
I have assisted both principals and investors in forming corporations,
partnerships, limited liability companies, and joint ventures. I have
also helped them create and document a capital structure and appropriate
governance arrangement among the investors. Protecting the interests of
my client, whether it is an individual, company, or venture capitalist,
is a primary goal.
Venture Capital
I assist clients in anticipating, assembling, and presenting the type
of information that venture capitalists, private investors, and other
financing sources require before evaluating a client's needs and prospects.
